Terms of Use
These Terms of Use ("Terms") set the conditions for using the Tsugra app and the server provided by the sole proprietor Yukiya Matsumoto ("the Operator") (together, "the Service"). By using the Service you agree to these Terms. Handling of personal information is described in the Privacy Policy. The Japanese version is the original; if the two differ, the Japanese version prevails.
Article 1 (The Service)
The Service is an app that records conversations and organizes them into transcripts, summaries, journals, search, answers to questions, meeting minutes and translation, plus a server that relays its AI features. Some features rely on AI (such as Anthropic's Claude) and external services. The Operator may change features or specifications.
Article 2 (Accounts)
- Some features require a signed-in account (Apple, Google, LINE or Facebook).
- You are responsible for managing your account and devices and must not let others use them.
- Minors must have the consent of a parent or legal guardian.
Article 3 (Fees and purchases)
- Paid plans, the Meeting add-on (subscriptions) and consumables such as recorder-bot time packs are sold through Apple's App Store. Prices, periods and renewal terms are shown at purchase.
- Apple's terms apply to purchase, payment, auto-renewal, cancellation and refunds. Cancel subscriptions in your Apple ID settings and request refunds from Apple (the Operator holds no payment data and cannot refund directly).
- If a purchase is reversed, for example by a refund, the Operator may revoke the corresponding entitlement and unused time.
- The free plan has usage limits; watching ads may add to them.
- If you use your own Anthropic API key, that provider's charges are yours.
Article 4 (About AI output)
- AI transcripts, summaries, answers, translations and minutes may be inaccurate, incomplete or wrong. Verify important content against the original record.
- Output is not medical, legal, tax, investment or other professional advice. Records such as heart rate and sleep must not be used for diagnosis or treatment.
- The Operator is not liable for results of using the output (except as stated in Article 10).
Article 5 (Recording and consent)
- You are responsible for complying with applicable law, giving notice to people present or meeting participants, and obtaining any required consent for recording, transcribing, sending to AI and sharing conversations.
- The Operator neither verifies nor guarantees the legality of your recordings or the consent of those involved.
- To use the meeting bot you need the host's permission and must notify all participants beforehand.
Article 6 (Prohibited acts)
You must not:
- violate laws or public order and morals;
- secretly record others' conversations without consent or legitimate reason, eavesdrop, stalk or harass;
- infringe others' rights (privacy, copyright, portrait rights, etc.);
- overload or gain unauthorized access to the Service, or abuse its API, purchase or ad mechanisms (including circumventing limits, faking ad views or forging purchase data);
- reverse engineer the Service, misuse the Server, or use it in bulk through automation;
- enter or generate content that violates AI providers' terms;
- do anything else the Operator reasonably deems inappropriate.
Article 7 (Intellectual property and your data)
- Rights to data you record or enter remain with you or the rightful owner. The Operator handles it only as necessary to provide the Service.
- Rights to the app, design and server programs belong to the Operator or the rightful owners.
Article 8 (Suspension and restriction)
- The Operator may suspend, change or end all or part of the Service without notice for maintenance, failures, outages or changes of external services (Anthropic, Apple, Cloudflare, Recall.ai, Google, LY Corporation, Meta, etc.) or other unavoidable reasons.
- If you violate these Terms, the Operator may restrict use or suspend or delete your account without notice.
- If the Service ends, the Operator will give reasonable notice where possible; data on your device stays on your device.
Article 9 (Disclaimer and limitation of liability)
- The Operator does not warrant that the Service is free of defects in fact or law (including defects or errors in safety, reliability, accuracy, completeness, fitness for a particular purpose or security, bugs, or rights infringement).
- Recordings may be missing and data may be lost due to device failure, OS or external service changes, network problems or a dead battery. Back up important data yourself, for example by exporting it.
- Except for intent or gross negligence of the Operator, the Operator's liability for damages you suffer in connection with the Service is limited to the amount you paid the Operator for the paid service that caused the damage in the past 12 months (zero for free use). The Operator is not liable for indirect or special damages or lost profits, except in case of its intent or gross negligence.
- If you are a consumer under the Consumer Contract Act and any provision exempting or limiting the Operator's liability is held invalid under that Act or other law, it does not apply to that extent and the Operator is liable to the extent law requires.
- If your recording or sharing causes a dispute with a third party, you will resolve it at your own responsibility and expense, and compensate the Operator for any resulting loss.
Article 10 (Consumer rights)
Nothing in these Terms limits the rights granted to you by the Consumer Contract Act or other law. The Operator is not exempt from liability for damage caused by its intent or gross negligence.
Article 11 (Changes)
The Operator may change these Terms as needed. Revised Terms take effect when posted on this page or in the App. Important changes will be announced beforehand in a clear way. Continued use after a change means you accept it.
Article 12 (Governing law and jurisdiction)
These Terms are governed by Japanese law. The Tokyo District Court is the exclusive court of first instance by agreement for disputes related to the Service (unless law gives exclusive jurisdiction to another court).
